Introduction

These Terms and Conditions ("Terms") apply to the entire contents of the Save & Generate Website at www.saveandgenerate.com ("Website") and to any correspondence between us and you. Please read these Terms carefully before using the Website. By using this Website and the services offered through it, you are bound by the Terms as set out below, regardless of whether or not you choose to register with us. If you do not agree to be bound by these Terms, you may not use or access our Service.

Key Definitions

• "Save & Generate" (referred to as "we"/"us"/"our") means the limited liability company trading as Save & Generate Ltd, of 20 Elmcroft Crescent, Bristol, BS7 9NF. The partners are Michael Reinhard Söldner and Roger William Hollies.
• "Customers" means any person who requests a quote through the Website for Installers to quote for the performance of Services.
• "Quote" means request for services for a project/job submitted by a Customer via our Website.
• "Users", "You", means anyone making use of the Save & Generate Services.
• "Service" or "Services" means any procedure or service that is provided by Save & Generate to Users, which includes, but is not limited to: information, services and products provided through the Website, or by telephone or email.
• "Installer" means any trades person (whether individuals or businesses) who registers on the Website in order to quote for work posted by Customers. In these Terms, "Installers" means trades people who are featured on the Website.
• "Website" means the website www.saveandgenerate.com and all the pages, content and sub-domains contained therein.
• "Expressing interest" and "Expressed interest" means contact made to a customer via our Service.
• "Feedback" means any comments posted on our Website or submitted via email in relation to our Service, an Installer and their service, or energy efficiency or renewable microgeneration technology installation.

Privacy policy

Our Privacy Policy forms part of these Terms. It contains important information about what information we pass to Installers and on what terms. You should read the Privacy Policy and check you accept it before using the Website. The Privacy Policy also details how else we use your information.

Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with English law. Disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the English courts.

If any provisions hereof are held to be illegal or unenforceable such provisions shall be severed and the remainder of this Agreement shall remain in full force and effect unless the business purpose of this Agreement is substantially frustrated thereby.

Save & Generate provide a unique blend of consultancy services, educational workshops, market research and an innovative web-based platform.

Accuracy of Information

Although we make every attempt to ensure that it is correct and accurate, Save & Generate cannot guarantee the accuracy of the information on this Service, and are not liable for any problems or losses arising from errors in the content.

In using the Services, you acknowledge that Save & Generate is not acting as a contractor or agent and is not responsible for any work done. It is the responsibility of the Customer to select a suitable Installer and to negotiate the terms for any work that they undertake. Save & Generate will not be involved in or held liable for the agreement between the Customer and Installer.

We recommend that any Customer, before entering into a contract with any Installer, obtains confirmation of insurance cover, guarantees, qualifications and any other necessary documents.

Most of the information on the Website is provided by third parties. Accordingly, whilst we seek assurances from those third parties as to the accuracy of the information they provide to us, we do not and cannot represent that information on the Website is accurate, complete or fair and you should not rely on it as if it were.

Whilst we will use reasonable endeavours to ensure that the information provided on the Website is up to date, the market prices of energy-saving and generating equipment fluctuate regularly, and the prices quoted to us by Installers are based on certain assumptions. Accordingly, you acknowledge and agree that the actual price of purchasing and installing energy-saving and generating equipment may be higher or lower than the pricing information contained on the Website.

The material on the Website is provided "as is", without any conditions, warranties or other terms of any kind. Accordingly, to the maximum extent permitted by law, we provide you with the Website on the basis that we exclude all representations, warranties, conditions and other terms (including, without limitation, the conditions implied by law which, but for these Terms, might have effect in relation to the Website).

We can change the contents of the Website at any time and without giving you notice.

Content

You agree to use the Website only for lawful purposes and in a way that does not infringe the rights of or restrict or inhibit anyone else's use and enjoyment of the Website. Messages, profiles, quote requests, feedback and other content must be civil and tasteful.

You understand that all postings, messages, text, files, images, photos, video, sounds, or other materials ("Content") posted on, transmitted through, or linked from Save & Generate, are the sole responsibility of the person from whom such Content originated. You are entirely responsible for all Content that you post, email or otherwise make available via the Service.

Other than personal information, which is covered under our Privacy Policy, any material you transmit or post to the Website shall be considered non-confidential and non-proprietary. We shall have no obligations with respect to such material. We shall be free to copy, disclose, distribute, incorporate and otherwise use such material and all data, images, sounds, text and other things embodied therein for any and all commercial or non-commercial purposes.

You understand that Save & Generate does not control, and is not responsible for content made available through the Service. Furthermore, the Website and content available through the Service may contain links to other websites, which are completely independent of Save & Generate. Save & Generate makes no representation or warranty as to the accuracy, completeness or authenticity of the information contained in any such website.

You understand that Save & Generate does not in any way 'vet' or approve Installers who are listed on the site. We firmly believe that feedback from previous customers provides the best help in deciding who to hire and what equipment to choose for installation. We do not accept any liability in this respect.

You acknowledge that Save & Generate does not pre-screen or approve all content, but that Save & Generate shall have the right (but not the obligation) in its sole discretion to refuse, delete or move any content that is available on the Website for violating the letter or spirit of these terms or for any other reason.

You are prohibited from posting or transmitting to or from the Website any material:

(a) that is threatening, defamatory, obscene, indecent, seditious, offensive, pornographic, abusive, liable to incite racial hatred, discriminatory, menacing, scandalous, inflammatory, blasphemous, in breach of confidence, in breach of privacy or which may cause annoyance or inconvenience; or

(b) for which you have not obtained all necessary licences and/or approvals; or

(c) which constitutes or encourages conduct that would be considered a criminal offence, give rise to civil liability, or otherwise be contrary to the law of or infringe the rights of any third party, in any country in the world; or

(d) which is technically harmful (including, without limitation, computer viruses, logic bombs, Trojan horses, worms, harmful components, corrupted data or other malicious software or harmful data).

You may not misuse the Website (including, without limitation, by hacking).

We shall fully co-operate with any law enforcement authorities or court order requesting or directing us to disclose the identity or locate anyone posting any material in breach of the above.

Links to other third party websites on the Website are provided solely for your convenience. If you use these links, you leave the Website. We have not reviewed these third party websites and do not control and are not responsible for these websites or their content or availability. We therefore do not endorse or make any representations about them, or any material found there, or any results that may be obtained from using them. If you decide to access any of the third party websites linked to the Website, you do so entirely at your own risk.

You agree that you must evaluate, and bear all risks associated with, the use of any content, that you may not rely on such content, and that under no circumstances will Save & Generate be liable in any way for any content or for any loss or damage of any kind incurred as a result of the use of any content posted

If you would like to link to the Website, you may only do so on the basis that you link to, but do not replicate, the home page of the Website, and subject to the following conditions:

(a) you do not remove, distort or otherwise alter the size or appearance of the Save & Generate logo;

(b) you do not create a frame or any other browser or border environment around the Website;

(c) you do not in any way imply that we are endorsing any products or services other than our own;

(d) you do not misrepresent your relationship with us nor present any other false information about us;

(e) you do not otherwise use any Integral Energy trade marks displayed on the Website without express written permission from us;

(f) you do not link from a website that is not owned by you; and

(g) your website does not contain content that is distasteful, offensive or controversial, infringes any intellectual property rights or other rights of any other person or otherwise does not comply with all applicable laws and regulations.

We expressly reserve the right to revoke the right granted here for breach of these Terms and to take any action we deem appropriate. You shall fully indemnify us for any loss or damage suffered by us for breach these Terms.

Intellectual Property

Unless otherwise stated, Save & Generate owns all the intellectual property rights relating to the Website, including the designs, text, database, graphics and layouts, and you agree not to use or copy any part thereof without our express permission.

The intellectual property rights on postings, messages, text, files, images, photos, video, sounds, or other materials ("content") Users upload to Save & Generate are retained by the copyright owner, and these are added to the site by Users at their own risk. In doing so you are giving expressed and irrevocable permission for us to store, display and use the content.

You are permitted to print and download extracts from the Website for your own use on the following basis:

(a) no documents or related graphics on the Website are modified in any way;

(b) no graphics on the Website are used separately from the corresponding text; and

(c) our copyright and trade mark notices and this permission notice appear in all copies.

For the purposes of these Terms, any use of extracts from the Website other than in accordance with the above for any purpose is prohibited. If you breach any of these Terms, your permission to use the Website automatically terminates and you must immediately destroy any downloaded or printed extracts from the Website.

Subject to the above, no part of the Website may be reproduced or stored in any other website or included in any public or private electronic retrieval system or service without first obtaining our written permission.

Any rights not expressly granted in these Terms are reserved.

Dealings with organisations and individuals

Your interactions with organisations and/or individuals found on or through the Website, including payment and delivery of goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such organisations and/or individuals.

You agree that Save & Generate shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings. If there is a dispute between Users on this Website, or between Users and any third party, you understand and agree that Save & Generate is under no obligation to become involved.

In the event that you have a dispute with one or more other Users, you hereby indemnify Save & Generate, its officers, employees, agents and successors in rights from claims, demands and damages (actual and consequential) of every kind or nature, known or unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way related to such disputes and/or our service.

Installers and their status

We are independent of Installers and have no ongoing contractual relationship with Installers, other than for fees payable upon contractual agreement of a job for which we have provided a lead.

Installers provide their details to us for inclusion in the Save & Generate database and on the Website. Installers are responsible for the accuracy of the information about them on the Website, and we do not recommend or otherwise endorse any particular Installer. Any ratings or opinions regarding Installers on the Website are customer generated and not the opinion of Save & Generate.

Upon requesting a quote form an Installer you are not entering any contractual agreement with them or Save & Generate. If you choose to accept a quote we will provide your details to the Installer at which time they will approach you to form a contract.

You agree that you are responsible for choosing which business or person to use to perform any Services for you, or to purchase goods, and that you shall not use the information provided on the Website as the sole basis for your purchasing decisions.

We do not warrant, represent or guarantee that we will be able to provide details to you of an Installer that is appropriate for your requirements. Neither do we guarantee that any Installer that we request contact you will do so.

We are not, and will not be, party to any contract or other arrangement made between you and an Installer. Accordingly, we shall not be liable to you in connection with any services or goods purchased from an Installer, including any direct, indirect or consequential loss of any kind suffered by you howsoever arising out of such purchase. However, we do not seek to limit our liability for death or personal injury arising from our negligence, or for fraud or fraudulent misrepresentation.

Registration

Each registration is for a single user only. We do not permit you to share your user name and password with any other person nor with multiple users on a network. Responsibility for the security of any passwords issued rests with you.

Feedback

All Installers will be subject to feedback evaluations from Customers for whom they carry out work, and thereby understand that Save & Generate is not responsible for the evaluation of content that those Customers post, or any harm done by such content.

Any Customer who posts feedback in reference to an Installer is solely responsible for its accuracy and legality.

All Users understand that any use of profanity, libel, illegal activity, or any other form of abuse of the feedback function or any other part of the Website may be banned from further use and reported to the authorities.

Save & Generate performs a number of checks on feedback to ensure authenticity and we may at our sole discretion remove any feedback that we cannot verify.

Removal or lack of feedback does not remove the obligation on the Installer to pay any associated success fee.

Limitations

You acknowledge that Save & Generate may establish limits concerning use of the Website, including but not limited to the maximum number of days that content will be retained by the Website, the maximum number and size of postings, email messages, or other content that may be transmitted or stored by the Website, and the frequency with which you may access the Website.

You agree that Save & Generate has no responsibility or liability for the deletion or failure to store any content maintained or transmitted by the Website. You also acknowledge that Save & Generate reserves the right at any time to modify or discontinue the Website (or any part thereof) with or without notice, and that Save & Generate shall not be liable to you or to any third party for any modification, suspension or discontinuance of any Services.

You agree that we shall not be liable for any loss or damages arising from the provision (or non-provision) of any part of the Service, including loss of profit or consequential loss or damage.

While we endeavour to ensure that the Website is normally available 24 hours a day, we shall not be liable if for any reason the Website is unavailable at any time or for any period. Access to the Website may be suspended temporarily and without notice in the case of system failure, maintenance or repair or for reasons beyond our control.

Termination of service

You agree that Save & Generate, in its sole discretion, has the right (but not the obligation) to delete or deactivate your account, block your email address, or otherwise terminate or restrict your access to or use of the Website, immediately and without notice, and remove and discard any content within the Website, for any reason, including, without limitation, if Save & Generate believes that you have acted inconsistently with the letter or spirit of the terms.

Further, you agree that Save & Generate shall not be liable to you or any third-party for any termination or restriction of your access to the Website.

Further, you agree not to attempt to use the Website after such termination.

Changes

Save & Generate reserves the right to change or update these Terms from time to time. As a User of the Website, you are responsible for acknowledging any updates of these Terms by visiting this section. Any significant changes in the Terms will be followed by notification emails to all Users.
